These terms are an agreement between you and MediShards Systems, Cairo, Egypt (“we”). By using MediShards (the “Service”) on behalf of a clinic or medical centre (the “Clinic”), you agree to these terms on the Clinic’s behalf and confirm you have authority to do so. Read them together with the Privacy Policy, which forms part of this agreement.
1. The Service
MediShards is a cloud clinic-management system: scheduling, patient records, billing and insurance, inventory, staff management, WhatsApp communication, and the connection of advertising campaigns to bookings. We develop the Service continuously and may add or change features; we do not remove a material feature from a paid plan without reasonable prior notice.
2. Accounts
- The Clinic owner is responsible for everyone they invite, for the permissions they grant, and for keeping credentials confidential.
- Notify us immediately of any unauthorised use of your account.
- The platform administration console is available only to the MediShards team and is never granted to a clinic.
3. Subscription and payment
- Plans and prices are published on the pricing page in Egyptian pounds, billed monthly or yearly.
- The Service runs on a credit balance: confirmed payments are added to the Clinic’s balance, and each period’s fee is deducted automatically when renewal falls due. Paying early is safe — the balance is held until the renewal date.
- If the balance does not cover a renewal, the Clinic is notified in-product seven days before the period ends, the Service then continues in full for a further seven days (grace), after which the account is paused until a new payment is confirmed. No data is deleted because of a pause.
- Upgrades take effect immediately, with the unused remainder of the current period credited back. Downgrades take effect at the end of the current paid period, because the Clinic has paid for the current plan’s features until then.
- We may change prices with at least 30 days’ notice; pre-paid periods are unaffected.
- The Service does not cap storage or the number of campaigns.
4. The Clinic’s responsibilities
The Clinic is the controller of its patients’ data and must:
- Hold a lawful basis for collecting and processing patient data and obtain the required consents, in particular for WhatsApp communication.
- Use WhatsApp in line with WhatsApp Business and Meta Platform policies: no unsolicited messages, no marketing without consent, and no use of Lead Ads data beyond the purpose it was collected for.
- Comply with the professional-practice and medical-records laws of its country. The Service is a management tool, not a substitute for clinical judgement.
- Not upload unlawful content or content that infringes others’ rights.
5. Acceptable use
You may not attempt to access another clinic’s data, disrupt the Service, reverse-engineer it, resell it without written agreement, or use it to send unauthorised bulk messages.
6. Your data and ownership
- The Clinic’s data, including its patients’ data, belongs to the Clinic. We receive a limited licence to process it solely to provide the Service.
- The Clinic can export its data at any time; on termination we delete it per the Privacy Policy.
- The software, brand, and design are the property of MediShards Systems.
7. Availability and support
We aim for round-the-clock availability with scheduled maintenance announced in advance. We keep daily encrypted off-server backups. Support is available through the in-product help centre and via WhatsApp.
8. Limitation of liability
The Service is provided “as is” to the extent the law permits. We are not liable for indirect damages or lost profits. Our total liability for any claim is limited to the amounts the Clinic paid in the preceding twelve months. Nothing here limits our liability for gross negligence, fraud, or anything that cannot lawfully be excluded.
9. Termination
- The Clinic may end its subscription at any time; pre-paid periods are non-refundable except where the law requires otherwise.
- We may suspend or terminate an account for a material breach of these terms, after notice and a reasonable opportunity to remedy where practicable.
- After termination the Clinic has 30 days to export its data before deletion.
10. Governing law
These terms are governed by the laws of the Arab Republic of Egypt, with the courts of Cairo having jurisdiction over any dispute, after a good-faith attempt at amicable resolution.
